Terms and Conditions B2C and B2B – Prolog Coffee
Web Shop B2C Terms and Conditions
General Information
These Terms & Conditions apply to purchases, subscriptions, and course registrations made via Prolog Coffee's web shop. If you have any questions, please contact us at hello@prologcoffee.com.
All purchases are made with Prolog Coffee ApS, Marguerite Vibys Plads 1, 2000 Frederiksberg, Denmark, CVR: 37459836.
All agreements are concluded by Danish Law.
1. Product Information
Each product is described on our web shop. Our coffee is sold as whole beans and packed in protective ventilated packaging for freshness.
Prices are stated in Danish kroner (DKK) including VAT, unless otherwise specified. Subscription contents may vary each month and are curated by our team.
2. Payment
Payment in the web shop is possible via Visa/Dankort, VISA, MasterCard, Maestro, MobilePay, and AMEX. Payment is charged once the order is confirmed.
We reserve the right to correct errors, adjust prices due to changes in VAT or taxes, and cancel orders due to typographical errors or force majeure.
3. Subscriptions
When subscribed to our service, you accept a monthly automatic payment, until subscription is cancelled. You may cancel your subscription at any time by contacting us at hello@prologcoffee.com. The cancellation will take effect from the next billing cycle.
You will receive an order confirmation for each renewal.
4. Shipping & Delivery
We ship via PostNord and DHL Express.
Estimated delivery times vary by region and selected shipping method. We strive to deliver within the time frame indicated but cannot guarantee exact delivery dates.
If a product is delayed, you will be informed as soon as possible, and you have the right to cancel the purchase if delivery is delayed more than 30 days, cf. Danish Sale of goods Act (Købeloven) § 74 and Danish Consumer Contracts Act (Forbrugeraftaleloven) § 27.
5. Transfer of Risk
In accordance with the Danish Sale of Goods Act (Købeloven), the risk for purchased goods passes to you only when you (the consumer) or a person authorized by you have taken physical possession of the goods.
Until that time, Prolog Coffee bears the risk of any damage or loss during shipment.
6. Right of Withdrawal and Returns
Under the Danish Consumer Contracts Act (Forbrugeraftaleloven), you have a 14-day right of withdrawal from the day you receive your goods.
However, the right of withdrawal does not apply to food products such as coffee, as these are perishable goods, Cf § 18, stk. 2, nr. 1, cf. § 7, stk. 2, nr. 1.
Other unopened and unused non-food products in their original packaging may be returned within 14 days of delivery.
To exercise your right of withdrawal, you must notify us at hello@prologcoffee.com within 14 days of receiving your goods.
You then have 14 days to return the item, Cf § 19.
Return shipping is at your expense, and you are responsible for ensuring the product is properly packed.
Refunds are issued once the product has been received and verified to meet the return conditions.
Refunds are made to the same payment method used for the purchase.
7. Missed Pickup & Return Handling
If an order is returned to us because it was not collected or due to incorrect delivery information, the order is not automatically refundable. Failure to collect a parcel is not considered a valid exercise of the right of withdrawal.
Returned packages are stored for 14 days and may be reshipped upon payment of additional shipping costs.
8. Newsletter & Marketing Consent
We only send marketing emails with your consent.
You can withdraw your consent at any time by using the unsubscribe link in each email.
9. Privacy and Data Protection (GDPR)
We process your personal data in accordance with the General Data Protection Regulation (GDPR) and the Danish Data Protection Act.
We collect your name, email, phone number, billing and shipping address, and order details to fulfill purchases and subscriptions.
We only share data with trusted partners necessary to process your order (e.g., shipping, payment, and platform providers).
Personal data is stored securely and retained only as long as legally required.
You have the right to:
- access your data,
- correct inaccuracies,
- request deletion ("the right to be forgotten"),
- restrict processing, and
- request data portability.

We may use the third-party providers who process data on our behalf such as:
Turis (e-commerce), Shopify (webshop platform), Stripe (payment), PostNord/DHL (shipping), and Klaviyo (email communication).

10. Jurisdiction and Applicable Law
These terms are governed by Danish law.
Any disputes shall be resolved by the courts of Denmark.
Consumers residing in another EU country may also bring proceedings in their own country of residence, in accordance with EU Regulation 1215/2012.
11. Complaints
If you wish to file a complaint, please contact us at hello@prologcoffee.com.
We will process your complaint within 30 days and aim for a fair resolution.
If you cannot reach an agreement with us, you may file a complaint with:

12. Version and Updates
Last updated: October 23rd 2025.
We reserve our right to update these terms without prior notice.
Significant changes will be announced via our website or by email.
Web Shop Wholesale B2B Terms and Conditions
General Information
These Terms & Conditions apply to all purchases, subscriptions, and course registrations made by business customers via Prolog Coffee’s web shop.
These Terms and Conditions apply exclusively to business-to-business (B2B) transactions.
By placing an order or subscribing, you confirm that you are acting as a business entity (holding a valid CVR/VAT number) and accept these terms in full.

These terms apply to all agreements between Prolog Coffee ApS (“Prolog Coffee”) and the customer (“Buyer”) unless otherwise agreed in writing.
Any deviating terms proposed by the Buyer are only binding if expressly accepted in writing by Prolog Coffee.
1. Product Information
Product descriptions, specifications, and images provided on the web shop are for general guidance only and do not constitute a binding warranty or guarantee of specific performance.
Variations in packaging or product appearance may occur without notice.
Coffee is supplied as whole beans and packed in ventilated protective packaging to ensure freshness. Subscription contents may vary monthly and are curated by our team.
2. Payment
Payment may be made using Visa/Dankort, VISA, MasterCard, Maestro or AMEX.
Payment is due immediately upon order confirmation unless otherwise agreed in writing.
Invoices are payable within 8 days net from the invoice date. Late payment incurs interest at 2% per month plus a DKK 100 reminder fee per notice.
Prolog Coffee reserves the right to:
- Adjust prices due to changes in VAT, taxes, or supplier costs,
- Correct typographical or system errors, and
- Cancel orders due to force majeure or stock unavailability.
Prolog Coffee reserves the right to suspend further deliveries in case of delayed payment.
3. Shipping & Delivery
Orders are shipped via PostNord or DHL unless otherwise agreed in writing.
Delivery times are estimates and non-binding. Delays do not entitle the Buyer to compensation unless a written guarantee has been given.
All deliveries are made Ex Works (Incoterms 2020) from Prolog Coffee’s warehouse unless otherwise agreed.
3. Transfer of Risk
The risk for the goods passes to the Buyer upon handover to the shipping provider (carrier) or when the goods leave Prolog Coffee’s premises, whichever occurs first.
Prolog Coffee is not liable for damage or loss occurring during transport once the goods have been handed over to the carrier.
4. Returns and Right of Cancellation
All sales to business customers are binding upon order confirmation and cannot be canceled or returned without Prolog Coffee’s prior written consent.
There is no right of withdrawal or return, unless explicitly agreed in writing by Prolog Coffee.
Returned items accepted by agreement must be unused, unopened, and in original packaging.
Returns are at the Buyer’s expense and risk, and a restocking fee of 15% of the purchase price may apply.
Coffee and other food products cannot be returned under any circumstances.
5. Missed Pickup & Return Handling
If delivery fails due to incorrect address information, non-collection, or other circumstances attributable to the Buyer, the goods will be returned to Prolog Coffee at the Buyer’s expense.
Reshipment may occur upon payment of additional shipping and handling costs.
6. Warranty and Defects
The Buyer must inspect goods immediately upon receipt.
Any visible defects must be reported to Prolog Coffee within 3 business days of delivery.
Hidden defects must be reported within 7 days after discovery.
If no timely claim is made, the goods are deemed accepted.
Prolog Coffee’s liability for defects is limited to replacement or credit of the defective goods at Prolog Coffee’s discretion.
Prolog Coffee is not liable for indirect losses, consequential damages, loss of profit, or operational loss.
7. Limitation of Liability
Prolog Coffee’s total liability for any claim, including delay, defect, or product loss, is limited to the invoice value of the goods in question.
Prolog Coffee shall under no circumstances be liable for indirect losses, including but not limited to loss of profit, loss of business, loss of goodwill, or consequential damage.
8. Force Majeure
Prolog Coffee is not liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to war, terrorism, strikes, lockouts, pandemics, import/export restrictions, natural disasters, or transport disruptions.
In such cases, delivery times are extended accordingly, or the agreement may be canceled by either party without liability.
9. Privacy and Data Protection (GDPR)
Prolog Coffee processes personal and business-related data solely for the purpose of fulfilling orders, customer administration, and marketing to business clients.
We collect data such as company name, contact person, address, email, phone number, and order details.
We only share information with third parties necessary to complete the transaction, including shipping, payment, and system providers.
We may use third-party processors such as:
Turis (e-commerce), Shopify (platform), Stripe (payment), PostNord/DHL (shipping), and Klaviyo (email).
All data is stored securely in compliance with GDPR.

10. Jurisdiction and Applicable Law
All agreements between the parties are governed by Danish law, excluding conflict-of-law rules.
The City Court of Frederiksberg shall have exclusive jurisdiction on all disputes arising from or relating to these Terms & Conditions or any agreement between the parties.
11. Complaints
Complaints must be submitted in writing to hello@prologcoffee.com within the deadlines stated under section 8.
Prolog Coffee will assess the complaint and respond within a reasonable time frame.
Business customers do not have access to the Danish Consumer Complaints Board (forbrug.dk) or the EU ODR platform.

Prolog Coffee reserves the right to update or modify these Terms & Conditions without prior notice.
Significant changes will be communicated via our website or directly to registered business customers.
